• You have the right and authority to provide those materials;
• Providing them does not breach any contract, law, confidentiality obligation or third-party right;

The Website may contain links, embedded content or references to third-party platforms, including video hosting, social media, scheduling, analytics and other services. We do not control these services and are not responsible for their availability, security, content, terms, privacy practices or performance.
Your use of third-party websites and services is subject to their own terms and policies.
9. Cookies and Tracking
The Website may use cookies, pixels, tags or similar technologies for functionality, analytics, performance and user experience. Details about these technologies, how they are used and how you can manage them are set out in our Privacy Policy.
Where applicable law requires consent for non-essential cookies or tracking, those technologies will not be activated until the required consent has been obtained.
10. Website Availability
We aim to keep the Website available and secure but do not guarantee uninterrupted, error-free or completely secure access. We may modify, suspend or discontinue parts of the Website at any time.
11. No Reliance on Website Information
Website information is for general informational and promotional purposes. Nothing on the Website should be interpreted as professional legal advice, financial advice, technical certification, a guarantee of business performance, marketing results, conversion outcomes or a binding promise of any particular production result.
Client Engagements
This part applies to clients who engage ArtEquation for paid creative, production or related services.
Where there is a conflict between these Website Terms and a separately executed client agreement (proposal, SOW, MSA, purchase order or engagement letter), the separately executed agreement will govern.
12. Client Responsibilities
Clients are responsible for providing accurate and timely information, approvals, materials and access reasonably required for us to perform the agreed services. This may include brand guidelines, logos, product information, scripts, reference material, approved messaging, photographs, footage, platform access, stakeholder feedback, legal approvals and final sign-off authority.
The client must ensure that information supplied is materially accurate and that it has the appropriate rights to provide any third-party materials.
Delays in receiving required content, feedback, approvals or instructions may affect the project schedule.
13. Project Scope
A client's project scope will be defined in the applicable proposal, quotation, SOW or written agreement. Depending on the engagement, the scope may define deliverables, video duration, formats, aspect ratios, production stages, number of concepts, revision rounds, voiceover and localisation requirements, music and sound, delivery specifications, source-file inclusion, timeline, pricing and other project conditions.
Only deliverables expressly included in the agreed scope are part of the project.
14. Changes to Scope
Requests that materially change the approved brief, deliverables, direction, duration, format, number of versions, markets, languages or production requirements may be treated as a change in scope.
Examples include changing an approved creative direction, adding scenes after storyboard approval, requesting additional versions or languages, introducing new approval stages, replacing approved content, requesting additional revision rounds or adding services not in the original proposal.
Additional work may require a revised quotation, fee and timeline. No material out-of-scope work is required until the additional scope and any additional charges have been accepted in writing.
15. Creative Approvals and Revisions
Creative projects involve staged approvals. Depending on the project, ArtEquation may seek approval at stages such as concept, script, visual direction, style frames, storyboard, illustration, animation, sound, voiceover, localisation and final delivery.
The number of revision rounds included will be stated in the applicable proposal or SOW. Client feedback should be consolidated and provided through the agreed communication channel. Where multiple stakeholders are involved, the client should designate a primary decision-maker.
Additional revision rounds or revisions that materially change previously approved work may result in additional fees and schedule changes.
16. Client Feedback and Timelines
The client is responsible for reviewing deliverables and providing feedback within the timeframes reasonably required to maintain the agreed schedule.
Where the client delays feedback, approvals or required content, ArtEquation may adjust the production schedule. Where delay results in additional production time, rescheduling costs, third-party costs or other expenses, such costs may be charged where permitted under the applicable agreement.
A final approval or sign-off constitutes confirmation that the deliverable or stage has been accepted.
Project timelines are established based on the scope, production requirements and client dependencies. A delivery date is confirmed only when expressly agreed in writing. Timelines may be affected by delayed client feedback, scope changes, third-party availability, technical issues, platform restrictions, force majeure events or other circumstances outside our reasonable control.
17. Fees and Payment
Fees, taxes, expenses and payment schedules will be specified in the applicable proposal, quotation, SOW, MSA or invoice.
Unless the applicable agreement states otherwise:
• Work may commence only after the required initial payment or approval has been received;
• Applicable taxes, including GST where applicable, are payable in addition to quoted fees;
• Third-party costs may be billed separately where specified;
• Additional work will be billed at the applicable quotation or agreed rate; and
• Final deliverables, source files or usage rights may be withheld until outstanding amounts have been paid in full, to the extent permitted by law and the governing agreement.
Specific payment terms in a signed client agreement take precedence over these Terms.
18. Third-Party Costs
Certain projects may require third-party services or materials, including voice actors, musicians, stock assets, fonts, software, plugins, hosting, rendering services, specialist production partners, translation providers, travel, equipment or other external services.
Unless expressly included in the agreed fee, third-party costs may be charged separately. Third-party materials and services may be subject to their own licence terms, usage restrictions and renewal requirements.
19. Intellectual Property in Client Projects
Ownership and licensing of project deliverables will be specified in the applicable client agreement.
Unless otherwise agreed in writing:
• Client-owned materials remain the client's property;
• ArtEquation retains ownership of its pre-existing tools, methods, templates, systems, production techniques, workflows and other background intellectual property;
• Third-party materials remain subject to the rights of their respective owners;
• Concepts, treatments, pitches or creative directions that are not commissioned and paid for remain ArtEquation's property;
• Editable source or project files are not included unless expressly stated in the agreed scope; and
• Ownership or licence rights in final deliverables are subject to full payment of the applicable fees.
Where the parties agree to assign or licence rights in deliverables, the scope will be defined in the applicable agreement.
20. Client-Supplied Materials and Rights Clearance
If the client supplies or instructs us to use third-party materials (photographs, footage, music, illustrations, logos, trademarks, fonts, scripts, recordings, software or documents), the client is responsible for ensuring it has the necessary rights, permissions, licences and consents.
The client is responsible for claims arising from its failure to obtain such rights where those materials were supplied or authorised by the client.
Where ArtEquation separately sources third-party assets on a client's behalf, the applicable licence terms and usage restrictions will be communicated.
21. Voice, Music, Localisation and Similar Rights
Where a project involves voiceover, dubbing, music, translation, localisation or similar services, rights may depend on territory, duration, media, audience, number of versions, campaign duration, paid-media use, broadcast use and other usage conditions.
The applicable scope of those rights should be specified in the project agreement. Additional usage beyond the agreed scope may require additional licensing or fees.
22. Artificial Intelligence and Technology-Assisted Production
ArtEquation may use artificial intelligence, machine-learning systems, automated production tools or third-party technology-assisted services as part of certain engagements.
Unless otherwise agreed in writing:
• Third-party AI tools may be subject to their own terms and usage restrictions;
• AI-assisted outputs may not always be exclusive;
• Availability or behaviour of AI tools may change;
• AI-generated or AI-assisted outputs may require human review and refinement; and
• Project-specific requirements for AI disclosure, approval, ownership or permitted use will be governed by the applicable SOW or MSA.
Where AI-assisted production is material to a project, ArtEquation will disclose the use of such tools to the client before commencing the relevant work, unless the parties have agreed otherwise.
23. Confidentiality
Information submitted through the Website does not automatically create a non-disclosure agreement. Where a client or prospective client requires confidential treatment of sensitive information, the parties should execute a separate NDA or confidentiality agreement.
Once a confidentiality agreement or applicable client contract is in place, ArtEquation will handle confidential information in accordance with that agreement.
General Provisions
These provisions apply to all users and clients.
24. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Website and Website Content are provided on an "as is" and "as available" basis.
ArtEquation does not warrant that the Website will always be available, that Website Content will always be complete or current, that errors will always be corrected, or that the Website will be free from harmful components.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
25. Limitation of Liability
To the fullest extent permitted by applicable law, ArtEquation, its directors, officers, employees, contractors, affiliates and representatives will not be liable for indirect, incidental, special, consequential, exemplary or punitive losses arising solely from your use of the Website, including loss of profits, revenue, business opportunity, goodwill, data or anticipated savings.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
For paid client engagements, any specific limitation of liability will be governed by the applicable MSA, SOW or other executed agreement.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless ArtEquation and its directors, employees, contractors and representatives from claims, losses, liabilities, damages, costs and expenses arising from your unlawful use of the Website, your breach of these Terms, your violation of third-party rights, or materials you submit in breach of your representations.
For paid client engagements, indemnification will be governed by the applicable commercial agreement.
27. Suspension and Termination
We may suspend or terminate Website access where reasonably necessary to protect the Website or our systems, prevent unlawful or abusive behaviour, comply with applicable law, or address a material breach of these Terms.
Termination of Website access does not affect rights or obligations under a separate client agreement.
28. Force Majeure
ArtEquation will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, government actions, war, civil unrest, strikes, epidemics or pandemics, widespread internet or infrastructure failures, widespread cyber incidents affecting critical infrastructure, utility failures, platform outages, supplier failures or other events that could not reasonably have been prevented.
Where such an event affects an active project, the parties will work together to determine a revised schedule or next steps.
29. Changes to These Terms
We may update these Terms to reflect changes to our Website, services, legal requirements or business practices. The revised version will be posted on this page with an updated "Last Updated" date. Your continued use of the Website after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
For client engagements, amendments to commercial terms will be governed by the applicable written agreement.
30. Privacy
Your use of the Website is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain and protect personal information.

Subject to applicable law, the courts located in [Panchkula, Haryana] shall have exclusive jurisdiction over disputes arising from these Terms.
For client engagements, the governing law and dispute-resolution provisions in the applicable agreement will prevail.
32. Severability
If any provision of these Terms is found unlawful, invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in effect.
